These Terms of Service ("Terms") are a binding agreement between Redbit S.r.l.s., Viale della Grande Muraglia 494, 00144 Roma, Italy — VAT IT15237911001, REA RM-1576999, PEC [email protected] ("Redbit", "we", "us") — and the business entity that registers for or uses the FillWright service ("Customer", "you"). By creating an account or using the service you accept these Terms. If you accept on behalf of an organisation, you represent that you are authorised to bind it.
"Service" means the FillWright application and related APIs. "Target" means a web form you configure the Service to submit to. "Dataset" means data you upload. "Wallet" means your prepaid balance. "Lead data" means personal or other data within a Dataset relating to third parties.
FillWright performs authorized data entry: it submits web forms on your behalf from data you provide, only against Targets you are authorized to submit to. Submissions are executed deterministically from mappings you review and approve.
The Service is offered to businesses only; you must be at least 18 and use it for professional purposes. Onboarding is admin-gated. You are responsible for the accuracy of your registration details, for all activity under your account, and for safeguarding your credentials. Two-factor authentication is required for financial actions.
You may only use the Service against a Target you own or for which you hold the owner's documented permission, verified through the Service (domain ownership or a written mandate). Every run requires a valid authorization for the Target domain. You must keep authorizations and any underlying consent valid for as long as you use them.
You must not use the Service to submit unsolicited, deceptive, fraudulent, infringing, or unlawful content; to harass or impersonate; to evade anti-abuse controls; or in violation of any Target's terms or applicable law. You must not attempt to circumvent the Service's compliance controls, probe or disrupt its security, or resell it without our written consent.
The Service enforces per-Target authorization, respects honeypots and site directives (robots.txt, rate limits, Retry-After), identifies its automation honestly, and does not solve CAPTCHAs. Attempting to circumvent these controls is a material breach.
You retain all rights to your Datasets. You grant us a limited licence to host and process them solely to provide the Service. You are responsible for the legality of the data you submit, for holding valid consent where required, and for your role as controller of the Lead data. Our processing of personal data is governed by the Privacy Policy and, for Lead data, by our Data Processing Agreement (DPA), which is incorporated by reference.
The Service, including its software, design, and documentation, is and remains the property of Redbit and its licensors. No rights are granted except the right to use the Service under these Terms. Feedback you provide may be used by us without restriction.
You prepay into a Wallet and are charged per successfully submitted form at the then-current price, snapshotted onto each run. Optional auto-recharge tops up the Wallet within limits you set. Payments are processed by Revolut. Prices are exclusive of applicable taxes, which you are responsible for. Prepaid balances are consumed as forms are submitted and are non-refundable except where required by applicable law. We may change prices prospectively with notice.
The Service relies on third parties (including Revolut for payments and, optionally, Anthropic for form-field mapping and Smartproxy/Decodo for regional egress). Your use of those features is also subject to the relevant provider's terms. We are not responsible for third-party services outside our control.
We may suspend or terminate access, and revoke authorizations, upon credible abuse reports, non-payment, or breach of these Terms, halting runs against an affected domain immediately. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (including 8, 9, 13–16, 18) survive.
The Service is provided "as is" and "as available", without any service-level commitment. To the maximum extent permitted by applicable law, Redbit disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted or error-free.
To the maximum extent permitted by applicable law, Redbit is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill. Redbit's aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law (including for fraud, gross negligence, or death or personal injury caused by negligence).
You will defend and indemnify Redbit against third-party claims, damages, and costs arising from your Datasets, your submissions, or your use of the Service in breach of these Terms or applicable law, including any lack of authorization or consent for a Target.
Each party will protect the other's non-public information disclosed in connection with the Service and use it only to perform under these Terms.
We may modify the Service and update these Terms. We will give notice of material changes by email and in-app notice at least 30 days before they take effect, except where a change is required by law or addresses a security issue. Continued use after the effective date constitutes acceptance.
These Terms are governed by Italian law. The courts of Rome, Italy have exclusive jurisdiction over any dispute, without prejudice to mandatory protections available to consumers where applicable.
If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, the Privacy Policy, and the DPA are the entire agreement between the parties. Neither party is liable for delays caused by events beyond its reasonable control (force majeure). Notices to us may be sent to [email protected].
